Sands China Ltd. Announces $700M Senior Note Issuance
Sands China Ltd. announced its intention to issue senior notes, a move designed to refinance existing debt and fund general corporate purposes. The company plans to redeem $700 million in outstanding 2.300% senior notes due March 8, 2027, originally issued in September 2021. Following a prior exchange offer, the outstanding principal amount of these notes currently stands at US$927,000.
The issuance will utilize proceeds to also repay a revolving credit facility. The notes are being issued by Sands China Ltd. itself, with U.S. Bank Trust Company, National Association, acting as trustee. The filing specifies that the definition of a “Significant Subsidiary” is one that contributes at least 10% of the company’s consolidated income before taxes or holds at least 10% of its consolidated assets.
The announcement comes as Sands China operates under a concession contract with the Macao government, granted to its subsidiary, Venetian Macau, S.A. (VML), effective January 1, 2023. This concession allows VML to operate casino games of chance in Macao. The company’s leadership remains consistent, with Wong Ying Wai and Chum Kwan Lock Grant serving as Executive Directors.
The move to refinance debt comes at a time when Chinese markets are experiencing volatility, with a recent $3.5 trillion selloff signaling weakening investor confidence. While the filing does not detail the terms of the new note issuance, the refinancing action suggests the company is proactively managing its capital structure amidst broader economic headwinds. The company's strategic focus remains on its Macau operations, reliant on the health of the Chinese economy and tourism sector.
