Unicredit Gains ECB Approval to Increase Commerzbank Stake
Unicredit has received the green light from the European Central Bank (ECB) to increase its holding in Commerzbank, moving the Italian bank closer to taking control of its German counterpart. The approval, announced on October 16th, allows Unicredit to convert shares acquired through a summer exchange offer and increase its stake in Commerzbank without limits.
This development follows constructive talks between German Finance Minister Lars Klingbeil and Unicredit CEO Andrea Orcel regarding key conditions for the acquisition. The German government is prioritizing the preservation of jobs, maintaining Frankfurt as Commerzbankâs headquarters, and ensuring continued support for Mittelstand financing â a focus on lending to small and medium-sized enterprises. Klingbeil indicated that he perceived no major obstacles during discussions, suggesting a willingness from Unicredit to address these concerns.
The ECBâs approval allows Unicredit to proceed with converting shares obtained through a previous exchange offer, effectively increasing its ownership from nearly 30% to almost 50% upon completion of outstanding regulatory procedures expected by year-end. This move is viewed positively by the market, as evidenced by a slight increase in both Commerzbank and Unicreditâs stock prices following the announcement. The ECBâs endorsement reflects a broader trend favoring cross-border banking consolidation within the Eurozone.
The German government, still holding a 13% stake in Commerzbank from a prior bailout, aims to prevent job losses and maintain the bankâs listing on the Frankfurt stock exchange. Unicredit, already present in Germany through Hypovereinsbank, anticipates potential cost savings, including possible staff reductions, and is currently engaged in discussions with Commerzbank regarding a potential merger. The completion of the offer is expected by year-end, at which point Unicredit will control the bank.
The ECBâs decision to approve Unicreditâs increased stake in Commerzbank represents a significant step towards a major consolidation in the German banking sector. The move, combined with the German governmentâs focus on protecting domestic interests, sets the stage for a potentially transformative period for Commerzbank and the broader German financial landscape.
